Take-Two Meets Shareholders Today. Four Proposals, No Results Yet

This piece was written before the meeting opened and it reports no result from it. What it sets out is the ballot, quoted verbatim from a 3,583,206 byte proxy statement: four proposals, all of them the company's own, ten director nominees of whom nine are independent, and no shareholder proposal on the card at all. The shareholder letter bound into the same document already says Grand Theft Auto VI things, and the hedge word "planned" attaches to 19 November in both passages, but it is a 27 July document and nobody has told shareholders anything today. The only Take-Two filing in the whole window is a director's Form 4, accession 0000946581-26-000082, two legs of 167 shares at $219.53 under a plan adopted seven months earlier, which is scheduled selling and means nothing about the meeting or the game. A Bank of Montreal prospectus that looks like a GTA story is knocked down: one mention, from a November 2024 index list, zero mentions of the game.
This article was written before Take-Two's annual meeting opened, and it reports no result from it. The meeting is called for 09:00 Eastern on Thursday 17 September, which is 13:00 UTC. This desk's last check of the company's filing docket was at 03:19:11Z, over nine hours earlier. Nobody here has heard a word of it, and on last year's precedent the vote numbers are not due today anyway.
What follows is what is on the ballot, what the company has already put in writing about Grand Theft Auto VI, and when the results should land.
When and where the meeting is

The same page urges stockholders "to vote and submit their proxies prior to September 17, 2026". The DEF 14A confirms the same three facts independently: 17 September 2026 at 9:00 a.m., virtual and audio-only, record date 23 July 2026.
What is on the ballot, and what is not
CONFIRMED, from the proxy statement. The DEF 14A, accession 0001628280-26-049813, filed 27 July 2026, was read in full at 3,583,206 bytes at 2026-09-17T03:08:12Z, HTTP 200. The items of business, verbatim:
1. Election of 10 directors; 2. Approval, on a non-binding advisory basis, of the compensation of the Company's 'named executive officers' as disclosed in the attached Proxy Statement; 3. Approval of a certificate of amendment to the Restated Certificate of Incorporation of Take-Two Interactive Software, Inc. to limit the liability of certain officers as permitted by Delaware law; 4. The board recommends a vote FOR on all four. Also verbatim from the same document: "Our 10 nominees include nine independent, outside directors".
There are four proposals and all four are the company's own. No shareholder proposal exists on the 2026 card. Anyone asking what happened to the shareholder proposals is asking about something that is not there.
When are the Take-Two annual meeting vote results due?
CONFIRMED as a precedent, and labelled as a precedent rather than a prediction. Last year the company filed its vote results the day after the meeting, not on the day.

The 2025 meeting was held on 18 September and the Item 5.07 results reached EDGAR on 19 September. On that precedent, the 2026 numbers land on or about 18 September. A company can file the same day, and proxy solicitors sometimes circulate preliminary tallies first, so this is a precedent and not a guarantee. If anyone publishes vote percentages today, the right question is which document they read.
The docket as of nine hours before the meeting

The qualifier is the whole point. An 8-K carrying Item 5.07 vote results could not exist at 03:19Z, because the meeting had not opened. This absence is a description of the docket before the event, and it is not a story about Take-Two failing to file anything.
What Take-Two has already told shareholders about GTA 6, in writing, in July
CONFIRMED as text, and dated carefully. The shareholder letter bound into the same proxy already says GTA 6 things, and the hedge word is worth watching. Verbatim:

The word "planned" attaches to 19 November in both passages. Also in the proxy summary: a net revenue split of $5.20 billion, 78.1 per cent of net revenue, mobile at $3.33 billion, 50.1 per cent, and expected operating cash flow of "more than $1 billion this fiscal year".
THE WARNING THAT HAS TO TRAVEL WITH THOSE QUOTES. This is a document filed on 27 July 2026. It is not a remark made at the meeting. Nobody has told shareholders anything today, and no executive has said anything today. If you see those sentences written up as something Strauss Zelnick said at the meeting, that is wrong by construction.
The only Take-Two filing in the whole window, and it means nothing

This desk's own arithmetic from those closes: 16 September was down $0.10, or 0.05 per cent, which is flat. The move that matters happened the day before the window opened, on 15 September, and over 14 to 16 September the stock is down $11.10, or 4.98 per cent. There is no 17 September price, because the session had not opened when we looked.
The SEC search result that looks like a GTA story and is not
DEBUNKED. EDGAR full-text search for "Take-Two" over 16 to 17 September returns six documents. One is the genuine Form 4 above. Three are fund holdings reports, one is a MetLife filing, and one is a Bank of Montreal free writing prospectus, accession 0001839882-26-045684. That last one is the trap, because a structured-note prospectus filed the day before the annual meeting looks like it ought to be about something.
A researcher opened it: HTTP 200, 268,754 bytes, fetched 2026-09-17T03:00:59Z. Occurrences of "Take-Two": 1. Occurrences of "TTWO": 0. Occurrences of "Grand Theft Auto": 0. The single mention, verbatim:

It is an index constituent list from November 2024 inside a bank's note prospectus. A full-text hit inside an exhibit is not the company naming the product.
CONFIRMED, with a control that makes the zero real. EDGAR full-text search for "Grand Theft Auto VI" across 16 to 17 September returns 0 hits in a 1,027 byte response. The year-to-date control, the same phrase across 2026, returns 14 in a 9,168 byte response, including Take-Two's own 10-K, 10-Q, annual report, preliminary proxy and definitive proxy. The index is alive and does contain the phrase. The zero for the window is a real zero.
