TTWO Fell 6.67% on 31 August and the SEC Filings Say Nothing

Every price, volume and arithmetic figure here is confirmed at source. The attribution is not, and that hedge is load-bearing: tying the move to the leaks or the subpoenas is press inference only, we are reporting a price move and the absence of any company statement, and a single day in a single stock has many possible causes we cannot separate. The other half of the story is the silence. Zero Take-Two SEC filings between 19 August and 1 September, zero filings by any filer naming Grand Theft Auto VI since 7 August, no new Take-Two miscellaneous proceeding in RECAP since 21 August and no TTAB filing since 27 August. The docket is the only place any of this exists on paper.
Take-Two Interactive shares closed at $219.70 on Monday 31 August, down 6.67 per cent on the session. The whole move happened in the first hour of trading. Volume was roughly three times the previous Wednesday's.
Across the same fortnight, the company filed nothing at all with the Securities and Exchange Commission. Not an 8-K, not a Form 4, not a single page. Nobody has filed anything with the SEC naming Grand Theft Auto VI since 7 August.
Both of those are facts. The line between them is not, and this article does not draw one.
What the tape says
CONFIRMED, from the Yahoo Finance chart API, with the closing price corroborated against a second source. The four sessions leading into and including Monday:
26 August: open 232.58, high 241.29, low 232.48, close 233.45, volume 2,171,662.
27 August: open 234.90, high 238.25, low 225.10, close 233.00, volume 4,228,057.
28 August: open 239.00, high 240.54, low 232.15, close 235.39, up 1.03 per cent, volume 3,711,409.

A note on that last volume figure, because two sources disagree and we would rather print both than pick one: Yahoo reports 6,785,487 shares for 31 August and stockanalysis.com reports 6,847,231. Either way it is roughly three times the 2,171,662 shares that traded on 26 August. The daily series from Yahoo returns null for 28 August; its hourly series gives a final bar closing at 235.41 and stockanalysis.com gives an official close of $235.39, which is the figure used above.
The arithmetic. From 28 August to 31 August the shares fell $15.69, or 6.6655 per cent. On a share count of 186,980,443, recorded in a securities filing dated 10 August 2026, that is an implied one-day decline in market value of $2,933,723,151, and an implied market capitalisation at Monday's close of $41,079,603,327.
Context on the range. The intraday low of $216.759 came within $29.13 of the 52-week low of $187.63. Monday's close is 17.3874 per cent below the 52-week high of $265.94.
The whole move was in the opening hour
This is the detail that separates a slide from a repricing. CONFIRMED, from the hourly series: the 13:30 UTC bar, which is the 09:30 Eastern open, opened at 234.405 and closed at 220.695. That single hour carried essentially the entire day, on 2,272,804 shares. For the remaining six hours the stock traded inside a band between $216.76 and $220.90 and finished near where the first hour left it.
A stock that gaps at the open and then goes flat has repriced on something known at the open. A stock that bleeds through the session is doing something else. This one did the former.
Why did Take-Two stock drop? Nobody has shown it
This is the hedge the rest of the article hangs on, and it is doing real work.
Contemporaneous coverage tied the fall to the Grand Theft Auto VI leaks. Benzinga wrote that shares fell "potentially facing selling pressure tied to a string of leaks surrounding 'Grand Theft Auto VI' ahead of the game's Nov. 19 release". Other coverage cited "macroeconomic concerns about the bond market, inflation, and interest rate outlook" alongside it.
That attribution is press inference only. We are reporting a price move and the absence of any company statement. We are not asserting causation and we cannot establish it.
A single day's move in a single stock has many possible causes running at once: sector rotation, index flows, rate expectations, an analyst action, a large holder rebalancing, and news specific to the company. We have no way to separate them, and neither does anybody writing about it. No Take-Two disclosure accompanied 31 August. No 8-K was filed. No company statement was issued. The correlation with the leak news cycle is real and obvious, and a real, obvious correlation is not evidence of a mechanism.
We will also say what we are specifically not claiming: that the court docket moved the stock. A second Discord subpoena was signed on 31 August, but nothing shows when that order reached the public docketing system, and a granted ex parte subpoena is not market-moving news on its own.
Analyst positioning going into the session was constructive, and all of it is REPORTED, from press summaries rather than notes we read: Morgan Stanley reaffirmed an Overweight rating with a $280 price target on 28 August; Wedbush carries a $300 target and called the $8 billion full-year guide "intentional conservatism"; consensus targets cluster with a median around $286.89 to $290, in a range from $170 to $368.
The other half of the story is what is not on file
CONFIRMED, from the EDGAR submissions index for Take-Two's filer identifier, retrieved at 02:59:39 UTC on 1 September. The most recent filing of any type is dated 18 August 2026: three Form 4s accepted between 20:23 and 20:29 UTC that evening. Between 19 August and 1 September inclusive there is nothing. No 8-K, no 10-Q, no S-8, no Form 4, no Schedule 13, nothing. That is a 14-day filing blackout spanning the entire subpoena campaign and the 31 August session.
CONFIRMED, from EDGAR full-text search across all 42 lifetime hits for the exact phrase. The most recent SEC filing by any filer containing the phrase "Grand Theft Auto VI" is dated 7 August 2026, in Take-Two's own first-quarter earnings release and its quarterly report. The next most recent by anybody is Turtle Beach Corporation on 6 August. There are zero hits dated 8 August 2026 or later.
The litigation appears in no SEC filing at all. Not the leak, not the subpoenas, not the investigation.
The hedge on all of that, and it matters. Silence is not evidence of anything. Take-Two is under no obligation to file an 8-K over an ex parte subpoena application, a share price move or a leak, and the absence of a filing implies nothing about materiality in either direction. There is also a mechanical explanation: the next scheduled disclosure event is second-quarter results, not anything in August.
Nothing new on the dockets either
CONFIRMED, from RECAP as read at 03:02 UTC on 1 September. A search for Take-Two proceedings filed since 1 August returns exactly four results, all of them the Southern District of New York DMCA matters opened on 20 and 21 August. There is no fifth, and no new Take-Two miscellaneous proceeding anywhere in RECAP since 21 August. A search for Rockstar Games as a named party since 1 June returns a single result, and Rockstar Games is not itself a named party anywhere in that period.
CONFIRMED, from TTABVUE. Take-Two's trademark enforcement is running at its ordinary clip, with an opposition instituted on 26 August and further challenges through the month. The most recent Take-Two filing there is dated 27 August. There is nothing on 28, 29, 30 or 31 August, and nothing on 1 September.
The caveat on the docket negatives, which is the same one we print every time. RECAP is a crowd-sourced mirror of PACER rather than PACER itself, and it lags. A document only appears once somebody has pulled it. A filing made on 1 September, or an unindexed one from 31 August, would not necessarily show. "Nothing newer in RECAP" is not "nothing newer on PACER".
The last thing the company said about any of this
For the record, since it is the most recent measured point and it predates everything above by three weeks. CONFIRMED, from the first-quarter earnings release filed 7 August 2026, the chairman and chief executive is quoted verbatim:
Our excellent first quarter results reflect the power of our portfolio and disciplined execution across all of our labels. With these positive trends and excitement around the November 19th launch of Grand Theft Auto VI, we are reiterating our Fiscal 2027 Net Bookings outlook of $8.0 to $8.2 billion.
The headline figures from the same release: net bookings decreased 3 per cent to $1.39 billion against $1.42 billion a year earlier, recurrent consumer spending decreased 1 per cent and accounted for 84 per cent of the total, and GAAP net revenue was $1.53 billion against $1.50 billion. The quarterly report states that sales of Grand Theft Auto products generated 12.8 per cent of net revenue for the three months to 30 June 2026, and it restates the 19 November release date three separate times.
That guidance is as of 7 August. It has not been revised, reaffirmed or withdrawn since, and it should not be read as a current statement about post-leak conditions. The company's next revenue event before launch is NBA 2K27, which ships on 4 September.
