The $2.83 Billion Take-Two Stock Claim Does Not Add Up

We recomputed every figure from the closing prices and Take-Two's own reported share count of 186,980,443. There is no arrangement of those closes that produces $2.83 billion. Causation is unverified: we did not test against a market index and 19 August was a broadly down day. There is no SEC Item 1.05 cybersecurity filing, which is not a denial. The three insider sales people are pointing at total about $200,000 and are routine 10b5-1 and vesting disposals. We name no site, token, handle or forum and describe no leaked material.

A post on r/GTA6 published at 03:06 UTC on 21 August claims that Take-Two "lost 2.83 billion in market cap over the past 2 days". We checked it against the closing prices and the company's own share count. Over the two-day window the post itself specifies, Take-Two's market capitalisation fell by about $421 million. The viral figure overstates its own stated window by roughly 6.7 times. This piece is about that number and nothing else. We do not describe the leaked material, we name and link no site, forum, chat server, repository, token or individual associated with it, and we take no position on what was or was not taken. The claim is financial, so we checked it. The arithmetic CONFIRMED. Take-Two reported 186,980,443 shares outstanding as of 27 July 2026, in the 10-Q filed on 7 August. Market capitalisation is that share count times the share price, so every figure below is one multiplication away from a closing price anyone can look up. The results: The post's own window, 18 to 20 August: the close moved from $242.40 to $240.15, a fall of $2.25 per share. Times 186,980,443 shares, that is $420.7 million. The claim is 6.7 times larger. The worst close-to-close reading anywhere in the month: 14 August to 19 August, $246.95 down to $237.04, a fall of $9.91 per share, or $1.853 billion. Even this, which stretches the window to three trading sessions and picks the highest peak and the lowest trough, is only about 65 percent of the claimed figure. Where the stock actually stood at the last close: $240.15 on 20 August, $6.80 below the 14 August close. That is $1.271 billion against the Friday before the story broke, after a recovery of $3.11 per share on 20 August alone. No arrangement of these closing prices produces $2.83 billion. To reach it you would need a fall of about $15.14 per share, and the largest close-to-close fall in the table is $9.91. Causation is unverified, and 19 August was a down day generally UNVERIFIED. We did not test Take-Two's move against a market index, a sector index or a peer group, so we cannot tell you how much of the 19 August fall belongs to Take-Two and how much to the market. 19 August was a broadly down day. A stock falling on a day when everything falls has told you very little. That is the single most important caveat here and we are not going to soften it. Anyone attributing a dollar figure to a specific event needs an index comparison, and neither we nor the viral post has one. What we can say is that the arithmetic does not support the number regardless of cause. No SEC cybersecurity filing, and that cuts both ways CONFIRMED NEGATIVE. We pulled Take-Two's full SEC submissions index, HTTP 200. The most recent Form 8-K is dated 7 August 2026 and carries items 2.02 and 9.01, the quarterly earnings release. Everything filed since is Forms 4, Forms 144 and a single Schedule 13G. There is no Item 1.05 filing anywhere in the recent-filings block. Item 1.05 is worth understanding before anyone waves it around. Since December 2023, US-listed companies have had to file an 8-K under Item 1.05 within four business days of determining that a cybersecurity incident is material. The trigger is the materiality determination, not the incident and not its discovery. So the absence of an Item 1.05 filing means one thing precisely: Take-Two has not determined that a material cybersecurity incident occurred. It does not prove that nothing happened. A company can be investigating, can conclude an incident is immaterial, or can simply not have reached a determination. Read it as the absence of a legal trigger, not a denial. No, insiders did not dump stock The second claim travelling alongside the first is that Take-Two insiders sold ahead of the news. Three researchers checked independently and all three found the same thing. Every insider transaction filed in the window is a small director disposal. Ellen F. Siminoff, 14 August 2026, two lines of 167 shares each at $242.34, totalling $80,941.56. The two lines are separate trusts, both indirect holdings, under a 10b5-1 plan adopted on 19 February 2026. LaVerne Evans Srinivasan, 17 August 2026, 362 shares at $245.01, totalling $88,693.62. Michael Sheresky, 17 August 2026, 127 shares at $245.01, totalling $31,116.27. Tax withholding on vesting equity, under a plan adopted 18 November 2025. That is 823 shares combined, roughly $200,000, against a market capitalisation near $45 billion. A 10b5-1 plan is a pre-scheduled trading arrangement adopted months in advance precisely so that executives cannot time sales on information; the February and November adoption dates are the whole point. Tax withholding on vesting is not a sale in any meaningful sense; it is shares taken to pay the tax bill on shares received. These transactions are not evidence of anything about the game, the leak claim, or the company's outlook. All three directors are on the 17 September re-election ballot, which is the only reason they are worth naming. What the community volume shows The one thing that genuinely moved is attention. CONFIRMED, our own measurement. We counted posts submitted to r/GTA6 in a fixed one-hour window, 12:00 to 13:00 UTC, on seven days: DatePosts in the 12:00-13:00 UTC hour 3 Aug2 10 Aug6 16 Aug4 17 Aug9 18 Aug6 19 Aug31 20 Aug57 The 16 to 18 August mean is 6.33 posts per hour. 20 August at 57 is 9.0 times that baseline, and 19 August at 31 is 4.9 times it. The subreddit has 1,212,091 subscribers. For scale, the Extended Look announcement on 6 August beat both. Rockstar posted at 12:00:12 UTC, the first reaction post landed 45 seconds later at 12:00:57, and 100 posts arrived between 12:00:57 and 12:05:39, a span of 4 minutes 42 seconds, about 21 posts per minute. A marketing announcement generated more community volume than this did. Method caveat, and it matters. These counts come from a third-party Reddit archive rather than from Reddit. They include posts later removed by moderators, and the archive caps each query at 100 results, which is why the 6 August burst is a rate rather than a total. Rockstar, as of this snapshot CONFIRMED, with a sourcing caveat. The most recent @RockstarGames post we could retrieve is from 18 August 2026 at 14:00:01 UTC, a routine Red Dead Online promotion, verbatim: "Shoot your way out of trouble in the Explosive Series, this week's Red Dead Online Featured Series awarding 3X RDO$ and XP". It drew 5,862 likes, 213 reposts, 2,456,022 views, 160 quotes and 1,976 replies. The four preceding routine promotions drew 545, 432, 335 and 345 replies, a mean of 414.25. We divided: 1,976 against 414.25 is 4.77 times the baseline. People are turning up in the replies of an unrelated Red Dead post to ask about something else. The caveat we will not drop: the absence of any later post rests on a mirror snapshot rather than X's own API, because X's syndication endpoint returned HTTP 429 on every attempt. The honest wording is "as of this snapshot", never "Rockstar has posted nothing since". What we still do not know How much of the 19 August move was Take-Two and how much was the market. We ran no index comparison and we are not pretending otherwise. Whether any incident occurred at all. The absence of an Item 1.05 filing is not a denial. Where the $2.83 billion figure came from. It matches no close-to-close pair in the data, so it was computed against intraday prices, against a different share count, or not computed at all.
